Corporate Advisory
IPO Advisory Ready for the market, ready for scrutiny.
A listing tests every part of a company at once — its structure, its contracts, its disputes and its disclosures. We advise issuers and promoters on legal preparedness well before the offer, so that diligence surfaces nothing unexpected.
We then stay through the offer document, the transaction documents and the regulatory interface with SEBI and the stock exchanges.

How we approach this work
Research-driven.
Diligence begins with the company's history — every allotment, contract and proceeding that will reach the offer document.
Client-centric.
We work in step with promoters, bankers and auditors, with issues raised early and privately.
Result-oriented.
A clean DRHP, fewer SEBI observations and a listing timetable that holds.

Questions & answers
What clients ask us.
How early should legal preparation for an IPO begin?
Ideally twelve to eighteen months before filing. Restructuring, regularising past corporate actions and resolving litigation take time, and all of it will be visible in the offer document.
What is a DRHP?
The Draft Red Herring Prospectus is the offer document filed with SEBI for observations. It sets out the business, risks, financials, litigation and material contracts, and must meet the ICDR Regulations.
